Director Legal & Commercial

As the Director Legal and Commercial for the NTT Global Data Centers (GDC) Global Corporate Development function, you will report directly to the Senior Vice President Corporate Development and work in a tight-knit London-based Strategy and Corporate Development team with a mandate to support the GDC platform across a range of transactions globally. Primarily this will be focused on providing legal advice in connection with investment initiatives across organic expansion, M&A and strategic partnerships. 

Given the expected growth of the GDC investment platform, this role will suit an individual who is a self-starter, who has the leadership skills to drive forward a wide range of legal matters with internal and external stakeholders, and who has outstanding business acumen and organizational skills.

 

Your responsibilities

  • Working within the GDC Global Strategy and Corporate Development function, focusing on the execution of transactions as part of NTT's growth strategy and investment program
  • Working across multiple jurisdictions, supporting deal structuring, financing, negotiating transaction documentation and transaction closings
  • Overseeing all legal aspects of a transaction, including drafting and reviewing non-binding offers and letters of intent, and contracting of all related agreements
  • Engaging, instructing, and overseeing external counsel 
  • Develop understanding of GDC business in all regions and key points for success of investment initiatives and legal contracting   
  • Acting as a bridge between the global transactions function and the regional GDC stakeholders to ensure business requirements and risks are taken into account and properly represented in negotiations of all transactions
  • Overseeing and managing legal due diligence and liaising with potential external advisors
  • Negotiating SPAs, shareholder and JV Agreements and other deal documentation to serve best interests of regional GDC stakeholders and global functions
  • Assisting with transaction closing and post-completion asset management initiatives
  • Coordinating and collaborating with internal and external stakeholders to manage transactional matters across jurisdictions as well as advising senior management in the regions and the headquarters (including Japan) on legal and business options / implications

 

Your profile 

  • Senior lawyer (5/8+ years PQE) with transactional corporate experience gained both at a top tier law firm and in-house with a global corporate, ideally with real estate or real assets exposure
  • Licensed to practice law in the UK or other relevant European jurisdiction
  • Deep knowledge and experience in structuring, negotiating and executing investment transactions with a good handle on corporate M&A aspects is essential
  • Background in telecoms infrastructure, data centers or real estate is preferred
  • Strong commercial acumen, paired with effective communication skills including the ability to confidently influence internal and external stakeholders and explain decisions as needed
  • Ability to cope with complex situations in a fast-changing environment and work well under pressure
  • Flexible, adaptable, able to work across projects, jurisdictions, functions and time zones
  • Available to travel as needed (although this is expected to be minimal)
  • High standards for reliability and diligence, self-motivated with a can-do attitude
  • Undergo full security checks to BS7858:2019
